Terms of Service

1. Introduction

1.1 Welcome to the GQYSHOP platform (the "Website"). Before using the Website or opening a GQYSHOP account (the "Account"), please read the following Terms of Service carefully so that you understand your legal rights and obligations. For the purposes of these Terms of Service, "Affiliate" means, with respect to an entity, any entity under common control with the entity, where "control" means the power to own, direct or cause the direction of the management, operating policies or assets of that entity, directly or indirectly, whether through ownership of more than 50% of the voting or equity securities or assets, whether by contract, management agreement, voting trust or otherwise; provided that the term "Affiliate" shall include any variable interest entity, regardless of whether any variable interest entity may be consolidated with such entity under generally accepted accounting principles. The "Services" we offer or provide include (a) the Website, (b) the services offered on the Website and the GQYSHOP client software offered through the Website, and (c) All information, linked pages, functions, data, text, images, photos, graphics, music, sound, video (including live broadcast), messages, tags, content, programs, software, application services (including but not limited to any mobile application services) or other materials provided through the website or related services ("Content"). Any new features added or enhanced by the service are also subject to these Terms of Service. These Terms of Service apply to your use of the services provided by GQYSHOP.

1.2 The service includes an online platform service that provides a place and opportunity for the sale of goods between buyers ("Buyers") and sellers ("Sellers") (collectively referred to as "you", "Users" or "Parties"). The actual sales contract is signed directly by the buyer and the seller, and GQYSHOP is not a party to the contract or any other contract between the buyer and the seller, and does not assume any obligations related to any such contract. The parties to such transactions will bear full responsibility for the sales contract, product list, purchase guarantee, etc. between them. GQYSHOP does not participate in transactions between users. GQYSHOP may or may not pre-screen users or content or information provided by users. GQYSHOP reserves the right to exercise its rights in accordance with Section 6.4 of this Agreement. Article 1.3 Before becoming a user of this website, you must have read and accepted all the terms and conditions in these Terms of Service and all the terms and conditions linked to it, and you must agree to process your personal information as described in the Privacy Policy linked here.

1.4 GQYSHOP reserves the right to change, modify, suspend or terminate all or any part of the Website or Services at any time or with notice as required by local law. GQYSHOP may release beta versions of certain services or their features, which may not work properly or in the same way as the final version, in which case we will not be responsible. GQYSHOP may also impose limits on certain features or restrict your access to part or all of the Website or Services at its sole discretion without notice or liability.

1.5 GQYSHOP reserves the right to refuse to provide you with access to the Website or Services or allow you to open an account for any reason.

By using GQYSHOP services or opening an account, you irrevocably accept and agree to the terms of this Agreement, including the additional terms and conditions and policies referenced and/or linked herein.

If you do not agree to these terms, please do not use our services or visit this website. If you are under the age of 18 or under the legal age for consent to this Agreement under applicable law in your country/region ("Legal Age"), you must obtain permission from your parent or legal guardian to open an account, and such parent or legal guardian must agree to the terms of this Agreement. If you do not know whether you are an adult or do not understand the content of this section, please do not create an account without first seeking help from your parent or legal guardian. If you are the parent or legal guardian of a minor who creates an account, you must accept the terms of this Agreement on behalf of the minor, and you will be responsible for all use of the account or the Company Services using the account, whether the account is currently open or created later.

2. Privacy

2.1 At GQYSHOP, your privacy is very important to us. In order to better protect your rights, we provide the GQYSHOP Privacy Policy to explain our privacy practices in detail. Please review the Pr Privacy Policy to understand how GQYSHOP collects and uses information related to your accountand/or your use of the Services (“User Information”). By using the Services or providing information on the Website, you:

(i) consent to GQYSHOP collecting, using, disclosing and/or processing your content, personal data and user information as described in the Privacy Policy;

(ii) agree and acknowledge that ownership of your user information is jointly owned by you and GQYSHOP; and

(iii) do not disclose your user information to any third party, directly or indirectly, or otherwise allow any third party to access or use your user information, without GQYSHOP’s prior written consent.

2.2 Users who have other users’ personal data through their use of the Services (“Receiving Parties”) hereby agree that they will (i) comply with all applicable personal data protection laws with respect to any such data; (ii) allow users whose personal data the Receiving Parties collected (“Disclosing Parties”) to delete the data they collected from the Receiving Parties’ databases; and (iii) in each case of (ii) and (iii) above, allow the Disclosing Parties to review what information the Receiving Parties have collected about them, if required by applicable law.

3. Limited License

3.1 GQYSHOP grants you a limited and revocable license to access and use the Services in accordance with the terms and conditions of these Terms of Service. All proprietary content, trademarks, service marks, brand names, logos and other intellectual property rights ("Intellectual Property Rights") displayed on the Website are owned by GQYSHOP and (if applicable) third-party owners identified on the Website. No party accessing the Website obtains, directly or indirectly, the right or license to use or reproduce any Intellectual Property Rights, and no party accessing the Website may assert any right, title or interest therein. By using or accessing the Services, you agree to comply with copyright, trademark, service mark and all other applicable laws protecting the Services, Website and its content. You agree not to copy, distribute, republish, transmit, publicly display, publicly perform, modify, adapt, rent, sell or create derivative works of the Services, Website or any part of their content. You also may not mirror or frame any part or all of the Website on any other server or as part of any other website without our prior written consent. In addition, you agree that you will not use any robot, spider or any other automatic device or manual process to monitor or copy our content without our prior written consent (such consent is deemed granted for standard search engine technology used by Internet search sites to direct Internet users to this Website).

3.2 You are welcome to link to this Website from your website, provided that your website does not imply any endorsement or association with GQYSHOP. You acknowledge that GQYSHOP may, in its sole discretion, stop providing some or all of the Services at any time without prior notice.

4. Software

Any software we provide to you as part of the Services is subject to these Terms of Service. GQYSHOP reserves all rights in the Software not expressly granted to GQYSHOP. Any third-party scripts or code that link to or reference the Services are licensed to you by the third party that owns such scripts or code, not GQYSHOP.

5. Accounts and Security

5.1 Certain features of our Services require registration for an account by selecting a unique user identification ("User ID") and password and providing certain personal information. GQYSHOP reserves the right to suspend or terminate your account if you select a user ID that GQYSHOP, in its sole discretion, deems offensive or inappropriate. You may use your account to access other products, websites or services that we allow access to or that are tied to or partnered with us. GQYSHOP has not reviewed and is not responsible for any third-party content, features, security, services, privacy policies or other practices of these products, websites or services. If you do so, the terms of service of these products, websites or services (including their respective privacy policies, which are different from these Terms of Service and/or our Privacy Policy) may also apply to your use of these products, websites or services.

5.2 You agree to (a) keep your password confidential and only use your user ID and password when logged in; (b) ensure that you exit from your account at the end of each session on the Site; (c) immediately notify GQYSHOP of any unauthorized use of your account, user ID and/or password; and (d) ensure that your account information is accurate and up-to-date. You are fully responsible for all activities that occur under your user ID and account, even if such activities or use are not your own. GQYSHOP is not responsible for any loss or damage caused by the unauthorized use of your password or your failure to comply with this section.

5.3 You agree that GQYSHOP may decide at its sole discretion whether to agree or not to assume any responsibility.may, in its sole discretion, immediately terminate or suspend your account and user ID for any reason, with or without notice to you or any third party, and without liability, delete or discard any content on the Site associated with your account and user ID, revoke any subsidies provided to you, cancel or suspend any transactions associated with your account and user ID, temporarily or in more serious cases permanently withhold any sales proceeds or refunds, and/or take any other action GQYSHOP deems necessary. Reasons for such action may include, but are not limited to, actual or suspected (a) prolonged inactivity, as determined by us from time to time; (b) violation of the letter or spirit of these Terms of Service; (c) unlawful, fraudulent, harassing, defamatory, threatening or abusive behavior; (d) having multiple user accounts; (e) purchasing products on the Site for commercial resale; (f) making unusual or excessive purchases from product sellers or related groups of sellers on the same Site; (g) misuse of coupons (including, but not limited to, selling coupons to third parties, selling coupons or other points at prices far above face value, and/or unusual or excessive use of coupons on the Site); or (h) behavior that is harmful to other users, third parties or GQYSHOP's business interests. Use of an account for illegal, fraudulent, harassing, defamatory, threatening or abusive purposes may be referred to law enforcement without notice. If a legal dispute or law enforcement action arises for any reason in connection with your account or your use of the Service, GQYSHOP may terminate your account immediately, with or without notice.

5.4 Users may terminate their accounts by notifying GQYSHOP in writing (including by email at gqyshopping@gmail.com). Despite any such termination, users remain responsible for any uncompleted transactions (whether initiated before or after termination), product shipments, product payments, etc. The Terms of Service effectively process and complete all uncompleted transactions. GQYSHOP assumes no liability and is not responsible for any damages resulting from actions taken pursuant to this section. Users waive any and all claims based on any such actions taken by GQYSHOP.

5.5 You may use the Service and/or open an account only if you are located in one of our approved countries, which we will update from time to time.

6. Terms of Use

6.1 The license to use the Website and Services is effective until terminated. This license will terminate in accordance with the provisions of these Terms of Service or if you fail to comply with any term or condition of these Terms of Service. In any such event, GQYSHOP may terminate the license with or without notice to you.

6.2 You agree not to:

(a) upload, post, transmit or otherwise make available any content that is unlawful, harmful, abusive, harassing, shocking, distressing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, hateful, or racially threatening, ethnically or otherwise objectionable;

(b) violate any law, including, but not limited to, any laws and regulations regarding import and export restrictions, third-party rights, or our prohibited and restricted items policy;

(c) upload, post, transmit or otherwise make available any content involving unsupervised minors, or use the Services to harm minors in any way;

(d) use the Services or upload content to impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;

(e) forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Services;

(f) remove any proprietary notices from the Website;

(g) cause, permit or authorize the modification, creation of derivative works or translation of the Services without the express permission of GQYSHOP;

(h) Use the Services for the benefit of any third party or in any manner not permitted by the license granted herein;

(i) Use the Services or upload Content in a fraudulent, unreasonable, false, misleading or deceptive manner;

(j) Open and/or operate multiple user accounts in any manner that violates the letter or spirit of these Terms of Service;

(k) Use any unofficial GQYSHOP hardware or software (including, but not limited to, simulators, emulators, robots or other similar hardware or software) to access the GQYSHOP Platform, open a user account or otherwise access your user account;

(l) Manipulate the price of any item or interfere with other users' listings;

(m) Take any action that could undermine the feedback or rating system;

(n) Attempt to decompile, reverse engineer, disassemble or crack the Services (or any part thereof) or to breach or defeat any encryption or security measures implemented by Ta.Collect, process or store Measure through GQYSHOP;

(o) Harvest or collect any information about other account holders, including but not limited to any personal data or information;

(p) Upload, email, post, transmit or otherwise make available any content that you do not have a right to receive under any law or under contractual or fiduciary relationships (such as employment relationships or nondisclosure agreements);

(q) Upload, email, post, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

(r) Upload, email, post, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other unauthorized form of solicitation;

(s) Upload, email, post, transmit or otherwise make available any material that contains software viruses, worms, Trojan horses or any other computer code, routines or files designed to directly or indirectly interfere with, manipulate, interrupt or destroy or program material to limit the functionality or integrity of any computer software or hardware or data or telecommunications equipment;

(t) disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time communications;

(u) interfere with, manipulate or disrupt the Service or servers or networks connected to the Service, or any other user's use and enjoyment of the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

(v) take any action or engage in any conduct that could, directly or indirectly, damage, disable, overburden or impair the Service or servers or networks connected to the Service;

(w) Intentionally or unintentionally use the Service to violate any applicable local, state, national or international law, rule, code, directive, guideline, policy or regulation, including but not limited to laws and requirements related to anti-money laundering or anti-terrorism (whether or not having the force of law);

(x) use the Service to violate or circumvent any sanctions or embargoes imposed or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control, the United Nations Security Council, the European Union or Her Majesty's Treasury;

(y) use the Service to invade the privacy of others or to "stalk" or otherwise harass others;

(z) violate GQYSHOP's rights, including any intellectual property rights and any impersonation;

(aa) use the Service to collect or store personal data about other users in connection with the prohibited conduct and activities listed above;

(bb) list items that infringe a third party's copyright, trademark or other intellectual property rights, or use the Service in a manner that infringes the intellectual property rights of others; and/or

(cc) direct or encourage other users to conduct transactions outside of the Website.

6.3 You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom the Content originated. This means that you (and not GQYSHOP) are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available through the Site. You understand that by using the Site, you may be exposed to Content that you find offensive, indecent or objectionable. Email, transmit or otherwise make available on the Site.

6.4 You acknowledge that GQYSHOP and its designees have the right (but not the obligation) to pre-screen, refuse, delete, stop, suspend, remove or move any Content, including but not limited to any Content or information posted by you, in their sole discretion, and without any liability to you. Without limiting the foregoing, GQYSHOP and its designees reserve the right to remove any Content that (i) violates these Terms of Service or your prohibited and restricted items policy; (ii) if we receive complaints from other users; (iii) if we receive notices or allegations of intellectual property infringement or other legal instructions or requests for removal; (iv) if such Content is objectionable. As part of our efforts to protect the Service or our users, or otherwise enforce the provisions of these Terms, we may also block communications sent to or from the Terms of Service (including but not limited to status updates, posts, messages and/or chats)and conditions. You agree that you must evaluate and bear all risks associated with the use of any content, including not relying on the accuracy, completeness or usefulness of such content. In this regard, you acknowledge that you have not relied on any content created by GQYSHOP or submitted to GQYSHOP, and to the maximum extent permitted by applicable law, you may not rely on the information in the GQYSHOP Forum and all other parts of the Website.

6.5 You acknowledge, agree and consent that GQYSHOP may access, preserve and/or disclose your account information and content to any legal, regulatory or governmental agency, relevant rights holder or other third party as required by law, pursuant to a court order or any lawful request of any government or regulatory agency with jurisdiction over GQYSHOP, or in the good faith belief that such preservation or disclosure of access is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms of Service or our Prohibited and Restricted Items Policy; (c) respond to claims that any content infringes the rights of a third party (including intellectual property rights); (d) respond to your customer service requests; (e) protect the rights of GQYSHOP, its users and/or the public, property or personal safety.

7. Violation of our Terms of Service

7.1 Violation of this policy may result in a range of actions, including, but not limited to, any or all of the following:

⦁ Listing removal

⦁ Account privilege restrictions

⦁ Account suspension and subsequent termination

⦁ Criminal charges

⦁ Civil proceedings, including, but not limited to, claims and/or interim or injunctive relief

8. Reporting Intellectual Property Infringement

8.1 As stated above, GQYSHOP does not allow listings that infringe the intellectual property rights of brands or other intellectual property owners ("IP Owners").

8.2 Unless otherwise expressly stated, users are independent individuals or businesses and have no affiliation with GQYSHOP, and GQYSHOP is neither an agent nor a representative of users, nor does it hold and/or own any place to sell goods.

8.3 If you are an IP owner or a duly authorized agent of an IP owner (“IP Attorney”) and you believe that your rights or the rights of your client have been infringed, please submit an online submission at https://help Form notify us.GQYSHOP.sg/portal/webform/4fdd0a74382a4d8089cabab7e7083699 and provide us with the following required documents to support your claim. Please give us time to process the information provided. GQYSHOP will respond to your complaint as soon as possible.

8.4 Complaints filed under this Section 8 must be in the form prescribed by GQYSHOP, which may be updated from time to time, and must include at least the following: (a) the intellectual property owner or intellectual property agent (collectively, "Line Personnel"); (b) a description of the type and nature of the intellectual property allegedly infringed, and evidence of rights; (c) a description of the nature of the alleged infringement, with sufficient detail to enable GQYSHOP to evaluate the complaint; (d) a URL containing a list of alleged infringements; (e) information sufficient for GQYSHOP to contact the reporter, such as the reporter's physical address, telephone number, and email address; (f) a statement by the reporter that the complaint is filed in good faith and that the reporter's use of the identified intellectual property is not authorized by the intellectual property owner or the law; (g) a representation by the reporter that the information in the notification is accurate, that the reporter will indemnify us for any losses we suffer as a result of the information provided by the reporter, and that the reporter has the appropriate rights or authority to represent the intellectual property owner in all matters related to the complaint.

8.5 GQYSHOP recognizes that manufacturers have the right to enter into certain exclusive distribution agreements or minimum advertising price agreements for their products. However, breach of such agreements does not constitute an infringement of intellectual property rights. Since the enforcement of these agreements is a matter between the manufacturer and the seller, GQYSHOP will not assist in such enforcement activities, nor will it enforce exclusive distribution rights or price control matters, except pursuant to laws specifically governing selective or exclusive distribution in the country.

8.6 Each Seller agrees to hold GQYSHOP and its affiliates harmless from any claims, causes of action, damages and judgments arising out of:any claim of intellectual property infringement or any removal of content or product listings related thereto.

9. Purchases and Payments

9.1 GQYSHOP supports one or more of the following payment methods in each country in which it operates:

(i) Credit Card

Credit card payments are processed through third-party payment channels, and the types of credit cards accepted by these payment channels may vary depending on the jurisdiction in which you are located.

(ii) Installment Purchase Program

For orders above S$200, buyers can pay in installments. Installment payments are processed through third-party channels. Banks currently supporting installment payments include UOB, OCBC Bank and DBS Bank.

9.2 Buyers can only change their preferred payment method for purchases before payment.

9.3 GQYSHOP is not responsible for any loss or damage incurred by buyers due to incorrect shipping and/or payment information entered or buyer's remittance payment. We reserve the right to check whether buyers are authorized to use certain payment methods and may suspend transactions until such authorization is confirmed, or cancel the relevant transaction if such authorization cannot be obtained.

10. Seller Balance

10.1 Your Account allows you to store the money you receive from the proceeds of sales on the Platform (the "Seller Balance"). This amount, less any withdrawals, is the Seller Balance.

10.2 You may submit up to one transfer request per day (a "Withdrawal Request") to transfer funds from your Seller Balance (up to the amount of your Seller Balance) to your linked bank account (the "Linked Account"). GQYSHOP may also automatically transfer funds from your Seller Balance to your Linked Account on a regular basis at its sole discretion. GQYSHOP can only process such transfers on business days and such transfers may take up to two business days to be credited to your Linked Account. GQYSHOP can only pay Sellers via bank transfer. Therefore, Sellers are required to provide GQYSHOP with their bank account details in order to receive payments from their Seller Balance.

10.3 Sellers are entitled to make one (1) withdrawal request per week free of charge (the "Weekly Withdrawal Limit"). GQYSHOP may charge a fee of S$0.20 (“Withdrawal Fee”) for each additional withdrawal request in excess of the Weekly Withdrawal Limit. The Weekly Withdrawal Limit and Withdrawal Fee may be subject to change at GQYSHOP’s sole discretion.

10.4 Payments made by you for items sold on GQYSHOP will be credited to your Seller Balance within three (3) days of the delivery of the items to the buyer or immediately upon confirmation of receipt of the items by the buyer.

10.5 Once submitted, you may not modify or cancel a Withdrawal Request.

10.6 If an error occurs in processing any transaction, you authorize us to debit or credit your designated bank account to correct such error, provided that any such correction is in compliance with applicable laws and regulations. If we are unable to debit your designated bank account for any reason, you authorize us to resubmit the debit together with any applicable fees to any other bank account or payment instrument you have on file with us, or to debit the debit and applicable fees from your Seller Balance in the future.

10.7 You authorize us to deduct or credit your seller balance:

(i) to correct any errors in the processing of any transaction;

(ii) GQYSHOP determines that you have participated in fraudulent or suspicious activities and/or transactions;

(iii) in connection with any lost, damaged or incorrect items;

(iv) in connection with any rewards or rebates;

(v) in connection with any uncollected fees;

(vi) in connection with the resolution of any transaction disputes, including any compensation due or owing to you;

(vii) in connection with any prohibited items or items detained by customs;

(viii) any change of mind agreed upon by the buyer and the seller; and

(ix) to purchase advertising credits when you activate the advertising credit recharge function and your advertising credits are below the minimum advertising credit limit.

10.8 If your account has been terminated, deactivated or suspended in accordance with these Terms of Service, or your account remains inactive for a period of time that GQYSHOP may specify from time to time, we reserve the right to manage any remaining seller balance in your account. The amount and frequency of such charges shall be specified by GQYSHOP from time to time.

11. Payment for Purchases

11.1 If you have both a GQYSHOP account and an account with GQYSHOP Pay Pte. Ltd. (“GQYSHOPPay”), you authorize GQYSHOP to disclose such information to GQYSHOP Pay in order for GQYSHOPPay to provide you with the Services (as defined in the GQYSHOP Pay Terms of Service), including but not limited to any payments related to your aAccount Details.

12. Store Guarantee

12.1 GQYSHOP Guarantee is a service provided by GQYSHOP or its authorized agents to ensure purchases. To avoid the risk of liability, payments for purchases made by sellers using the service will be held by GQYSHOP or its authorized agents ("GQYSHOP Guarantee Account"). Sellers will not receive interest or other income from payments you make to the GQYSHOP Guarantee Account.

12.2 Once Buyer has paid for its order (“Buyer’s Purchase”), the amount of Buyer’s Purchase will remain in the GQYSHOP Guarantee Account until:

(a) Buyer sends GQYSHOP a confirmation that Buyer has received its Goods, in which case, unless 12.2(d) applies, GQYSHOP will release Buyer’s Purchase Price (less Seller’s Freight Rate (if applicable), Transaction Fees and Taxes (as defined below) and, if applicable, Cross-Border Fees (as defined below)) to Seller’s GQYSHOP Guarantee Account;

(b) the GQYSHOP Warranty Period (or any extension approved under 12.3) expires, in which case, unless 12.2(c) or 12.2(d) applies, GQYSHOP will release Buyer’s Purchase Price to GQYSHOP Guarantee Account. The Guarantee Account releases the Buyer’s Purchase Amount (less the Seller’s Shipping Percentage (if applicable), Transaction Fees and Taxes (as defined below), and (if applicable) Cross-Border Fees (as defined below)) to the Buyer’s Account);

(c) GQYSHOP determines that the Buyer’s return and/or refund request is successful, in which case, unless 12.2(d) applies, GQYSHOP will refund the Buyer in accordance with the Refund and Return Policy;

(d) such other time as GQYSHOP reasonably determines to be appropriate to distribute the Buyer’s Purchase Amount (less the Seller’s Shipping Percentage (if applicable), Transaction Fees and Taxes (as defined below), and (if applicable) Cross-Border Fees (as defined below)) including, but not limited to, when it deems it reasonably necessary to comply with applicable law or court order or to enforce these Terms of Service.

The GQYSHOP Guarantee only applies to Buyers who pay into the GQYSHOP Guarantee Account through the channels provided by GQYSHOP. Offline arrangements between Buyers and Sellers are not covered by the GQYSHOP Guarantee.

12.3 Payments made through GQYSHOP channels will be The GQYSHOP Guarantee Account will be retained for a specified period of time (the "GQYSHOP Guarantee Period"). Buyers may request a one-time extension of the GQYSHOP Warranty prior to the expiration of the applicable GQYSHOP Warranty, subject to the Refund and Return Policy. The GQYSHOP Warranty Period may be extended for up to three (3) days upon Buyer's request, unless GQYSHOP determines in its sole discretion that a longer extension is appropriate or necessary.

12.4 If for any reason the Seller's bank account cannot be credited and/or the Seller cannot be contacted, GQYSHOP will make reasonable efforts to contact the Seller using the contact information provided by the Seller. If the Seller cannot be contacted and the Buyer's purchase proceeds remain unclaimed for more than twelve (12) months after the Seller's expiration, GQYSHOP will process such unclaimed Buyer purchase proceeds in accordance with any applicable laws.

12.5 Sellers/Buyers must be the actual beneficiaries of the account and can only trade on the Website on their own behalf. GQYSHOP may require Sellers or Buyers to provide their personal data, such as a recent photo of their ID, bank account details and/or any other such necessary documents, for verification purposes, including verification required by third-party payment processing and logistics service providers. Sellers/Buyers hereby consent to GQYSHOP using or providing their personal data to third parties to facilitate their use of the Website. In addition, Sellers/Buyers authorize GQYSHOP to use their personal data to make any inquiries we deem necessary to verify their identity with the appropriate entities (such as their banks). 12.6 GQYSHOP Guarantee is in addition to, but not limited to, the obligations of Buyer and Buyer under applicable law and may exceed the scope of the Guarantee by GQYSHOP. GQYSHOP guarantees that it neither intends nor intends to assist Buyer or Seller in fulfilling its own legal obligations, and each party will bear full responsibility for this and GQYSHOP does not assume any liability in connection therewith. GQYSHOP Guarantee does not constitute a product warranty, but is not limited to this.

12.7 Buyers and Sellers acknowledge and agree that GQYSHOP's decision on any matter relating to the GQYSHOP Guarantee (including any appeal) is final.

12.8 For the avoidance of doubt, any transaction not conducted on this website is not eligible for the protection provided by GQYSHOPAll guarantees.

13. GQYSHOP COIN Rewards System

13.1 Users can earn loyalty points (“GQYSHOPCoins”) by purchasing goods on the Website using the GQYSHOP Guarantee System or participating in other GQYSHOP activities (“Eligible Activities”) determined by GQYSHOP from time to time in its sole discretion based on a determined conversion rate. Typically, GQYSHOP Coins will be credited to the User’s account upon successful completion of a transaction or activity approved by GQYSHOP. If you are a User and your account does not exclude you from participating, you are eligible to participate in the GQYSHOPCoins Rewards System. 1 Users can earn loyalty points (“GQYSHOP Coins”) by purchasing goods on the Website using the GQYSHOP Guarantee System or participating in other GQYSHOP activities (“GQYSHOP Coins”) determined by GQYSHOP from time to time in its sole discretion based on a determined conversion rate. 13.2 Transactions completed on the website without using the GQYSHOP guarantee are not eligible for the GQYSHOPCoin reward system. GQYSHOP may exclude product categories from the GQYSHOP Coins reward system at its sole discretion.

13.3 GQYSHOP Coins have no monetary value, do not constitute your property, and cannot be bought, sold, transferred or exchanged for cash. 1 GQYSHOP Coins loaned to buyers have no monetary value, do not constitute the buyer's property, and buyers cannot buy, sell, transfer or exchange for cash.

13.4 Subject to GQYSHOP's rules and regulations as determined, changed or modified by GQYSHOP from time to time and subject to any caps set by GQYSHOP in its sole discretion, Users may redeem or donate GQYSHOPCoins by sending a request to GQYSHOP and using GQYSHOPCoins as recommended by GQYSHOP from time to time, donating to charities registered with GQYSHOP or offsetting the purchase price of selected items when shopping on the Website (as applicable). All refunds are subject to the GQYSHOP Refund and Return Policy and are subject to Section 16.4.

13.5 GQYSHOPCoins you redeem or donate will be deducted from your GQYSHOP Coin balance. Each GQYSHOP Coin has an expiry date. Please be sure to check your account details on the Website to understand your GQYSHOP Coin balance and expiry date.

13.6 We may notify you from time to time that certain qualifying activities will award GQYSHOPCoin rewards. This may include, but is not limited to, purchases you make at participating sellers or under certain promotional offers. We will notify you of the terms of such rewards (if any) from time to time.

13.7 If you dispute the amount of GQYSHOP Coins you received through a qualifying activity, you must make such dispute within one (1) month after the date of the qualifying activity. We may ask you to provide evidence to support your claim.

13.8 GQYSHOP makes no guarantees and assumes no responsibility for the final tax treatment of GQYSHOP Coins. You need to consult your tax advisor to determine whether receiving GQYSHOPCoins will affect your tax situation.

13.9 GQYSHOP reserves the right to: (i) terminate the GQYSHOP Coins Rewards System at any time at its sole discretion, and/or (ii) cancel or suspend a user's right to participate in the GQYSHOP Coins Rewards System, including the right to earn and redeem GQYSHOP Coins, L.

14. GQYSHOPCOIN Marketing Service

14.1 Sellers can purchase GQYSHOP Coins in the "Marketing Center" section of the Seller Center ("Marketing Center") and distribute them to buyers for marketing purposes free of charge. If you are a seller who purchases GQYSHOP Coins, you will be deemed to have agreed to the terms and conditions described in this section and any explanatory materials communicated to the seller in writing on this website, Seller Center or elsewhere ("Seller Coin Rules").

14.2 To purchase

GQYSHOP Coins, you must be an eligible seller under the Seller Coin Rules. Your account shall not be suspended due to editing during your purchase and payment of GQYSHOP Coins.

14.3 You may purchase GQYSHOP Coins through the payment methods specified in the Marketing Center. GQYSHOP Coins will be issued to your account within 24 hours after payment, credited to the buyer's account, and expire six (6) months after purchase or such other time as GQYSHOP may determine. After purchasing GQYSHOP Coins and completing the payment process, you may not cancel the order and/or request a refund, unless otherwise provided in the applicable terms.Seller Coin Rules.

14.4 GQYSHOP coins purchased by sellers can only be given to buyers free of charge through the promotion channels provided by the Marketing Center. Under no circumstances may you sell, redeem or otherwise trade GQYSHOP coins. You agree that failure to comply with this section or any Seller Coin Rules may result in the confiscation of your purchased GQYSHOP coins, in addition to any other actions or remedies that GQYSHOP may take or enforce, but is not limited to this.

14.5 You understand and agree that GQYSHOP does not guarantee or warrant that your product rating or sales will increase as a result of the free purchase and distribution of GQYSHOP coins.

14.6 It is recommended that you purchase GQYSHOP coins after fully considering your budget and expected advertising goals. Except as otherwise provided in these Terms of Service or Seller Coin Advertising Rules, GQYSHOP shall not bear any compensation or liability (including but not limited to actual costs and loss of profits) for the purchase results or expected results of GQYSHOP coins.

14.7 If, notwithstanding any provision of these Terms of Service, a court of competent jurisdiction finds GQYSHOP liable for your purchase of GQYSHOPCoins (including for gross negligence), GQYSHOP will be liable to you or any third party to the maximum extent permitted by applicable law. The liability of third parties is limited to the amount you paid for the relevant GQYSHOPCoins.

15. GQYSHOPCOIN Cash Back Coupons

15.1 Users may receive a coupon for additional GQYSHOP Coins ("GQYSHOP Coin Cash Back Coupons") when making eligible purchases on the Website. Upon successful completion of a transaction using a GQYSHOP Coin Cash Back Coupon, additional GQYSHOP Coins will be credited to the User's account at the exchange rate shown in the terms and conditions of such GQYSHOPCoin Cash Back Coupon ("Additional GQYSHOPCoins Exchange Rate") or at GQYSHOP's sole discretion. GQYSHOPCoin credited to a User's account upon redemption of a GQYSHOPCoin Cash Back Voucher shall be subject to the same terms and conditions as regular GQYSHOPCoin (including those relating to expiration).

15.2 GQYSHOP may allow Sellers to generate their own GQYSHOPCoin Cash Back Vouchers (each a "Seller Coin Cash Back Voucher"), which Buyers may use to make eligible purchases at the Seller's store. If you are a Seller generating a Seller Coin Cash Back Voucher, you will be deemed to have agreed to the terms and conditions set forth in this section.

15.3 When generating a Seller Coin Cash Back Voucher, the additional GQYSHOP Coin rate will be determined by the Seller. Sellers are solely responsible for the accuracy of the rate attached to GQYSHOPCoin.

15.4 For each completed transaction in which the Buyer successfully uses the Seller's Coin Cashback Voucher, the Seller shall pay GQYSHOP the value of the additional GQYSHOPCoins credited to the Buyer's account (the "Coin Cashback Price"). The Coin Cashback Price is calculated in Singapore dollars and is the number of additional GQYSHOP Coins earned in the Buyer's account divided by 100, rounded to the nearest cent. The Coin Cashback Price is subject to GST ("Coin Cashback Tax") and the Seller shall be responsible for paying such Coin Cashback Tax.

15.5 Upon successful transaction, GQYSHOP will deduct the Coin Cashback Price and the Coin Cashback Tax Amount from the Buyer's purchase and remit the balance to the Seller in accordance with Section 12.2. GQYSHOP shall issue a receipt or tax invoice for the Coin Cashback Price and the Coin Cashback Tax Amount upon request. For the avoidance of doubt, the Coin Cashback Price and Coin Cashback Tax Amount shall be payable in addition to the transaction fees and taxes specified in the Terms of Service.

15.6 The Coin Cashback Price and Coin Cashback Tax are non-refundable.

16. Delivery

16.1 GQYSHOP will notify the Seller upon receipt of the Purchase Payment from the Buyer. Unless otherwise agreed with GQYSHOP, the Seller shall make the necessary arrangements for the delivery of the Purchased Goods to the Buyer and provide the Buyer with details such as the name of the delivery company, tracking number, etc. through the Website.

16.2 The Seller must use its best endeavours to ensure that the Buyer receives the Purchased Goods within the GQYSHOP guarantee period or the period specified by the Seller on the Seller's listing (for offline payments), whichever is applicable.

16.3 The User understands that the Seller bears all risks in the delivery of the Purchased Goods and warrants that it has obtained or will obtain adequate insurance to deliver the Purchased Goods. If the purchased goods are damaged, lost or not delivered during the delivery process, the user acknowledges and agrees that TGQYSHOP is not responsible for any damages, expenses, costs or expenses caused therebyand agree that the Seller and/or Buyer will contact the logistics service provider to resolve such disputes.

16.4 For cross-border transactions. The user understands and acknowledges that if the product listing indicates that the product will be shipped from overseas, the product is sold by a seller outside Singapore and the import and export of the product is subject to local laws and regulations. The user should be familiar with all import and export restrictions applicable to the designated country. The user acknowledges that GQYSHOP cannot provide any legal advice in this regard and agrees that GQYSHOP does not bear any risk or liability associated with the import and export of such products into Singapore.

16.5 If the buyer chooses to have the purchased items delivered by Singapore Post Ordinary Mail, all costs of delivering the purchased items shall be borne solely by the seller.

16.6 If the buyer chooses to have the purchased goods delivered by any other mode of transportation, the buyer, the seller and GQYSHOP shall bear the charges payable to the transportation company ("Shipping Fees") in the proportion determined by GQYSHOP and GQYSHOP, which shall be published on the Website from time to time. GQYSHOP shall (i) charge the Buyer the Buyer’s share of the Shipping Costs, (ii) deduct the Seller’s share of the Shipping Costs from the Buyer’s purchase in accordance with Clause 12.2, and (iii) pay the full Shipping Costs to the Freight Company.

16.7 For the avoidance of doubt, GQYSHOP Express Private provides or manages any GQYSHOP-supported logistics services provided or managed by GQYSHOPExpress Private for the delivery of goods from outside Singapore to overseas destinations within Singapore, and local land logistics services for freight.

17. Cancellation, Returns and Refunds

17.1 Buyers may only cancel their orders before the payment of Buyer’s purchase amount is paid into the GQYSHOP Guarantee Account.

17.2 Buyers may apply for returns and refunds (if applicable) before the expiration of the GQYSHOP Guarantee Period, subject to GQYSHOP’s Refund and Return Policy. For more information, please refer to GQYSHOP’s Refund and Return Policy.

17.3 GQYSHOP reserves the right to cancel any transaction on the Website, and the Buyer agrees that the Buyer's sole remedy is to refund the purchase amount paid by the Buyer to the GQYSHOP guarantee account.

17.4 If you redeem GQYSHOP coins for a transaction and successfully obtain a refund in accordance with GQYSHOP's refund and return policy, GQYSHOP will refund you the actual amount paid for the goods and redeem any redeemed GQYSHOP coins separately to your account.

17.5 GQYSHOP does not monitor the cancellation, return and refund process of offline payments.

17.6 Buyers should refund the amount to their GQYSHOP wallet within five (5) days after the return or refund request is approved.

18. Seller's Responsibilities

18.1 Sellers should properly manage and ensure that the relevant information of the products in the seller's listing (such as price, product specifications and inventory quantity) and any terms and conditions of sale are updated, and shall not publish inaccurate, misleading or incomplete information.

18.2 The price of the goods shall be determined by the Seller in its sole discretion.

18.3 For local orders where the point of sale of the goods is in Singapore, if the Seller is registered in Singapore for Goods and Services Tax (“GST”), the Seller will be required to provide the Buyer with prices that include GST and shall issue tax invoices, receipts or credit notes (as applicable) to the Buyer upon request.

18.4 For international orders where the point of sale of the goods is outside Singapore, the price of the goods shall include any GST, import duties, tariffs and charges imposed by the Singapore authorities upon import, and the Seller shall not charge the Buyer additionally for such charges, except for imports as provided in clause 18.5.

18.5 Sellers who import goods from Japan to Singapore using GQYSHOP “Delivered Duty Unpaid (DDU)” must inform the Buyer that the carrier may charge import duties separately upon delivery.

18.6 The Seller is responsible for responding to the Buyer’s inquiries regarding the Seller’s GST registration status.

18.7 The Seller agrees that GQYSHOP may, at its sole discretion, conduct promotional activities to induce transactions by reducing, discounting or refunding fees or otherwise establishing contact between buyers and sellers. The final price actually paid by the Buyer will be the price to which such adjustments are applied.

18.8 In order to promote the sales of products posted by the Seller, GQYSHOP may post the products (after adjustment) on third-party websites (such as portals, price comparison websites) and other websites operated by the Seller (domestic or foreign).

18.9 Subject to terms.3 and 18.4, the Seller acknowledges and agrees that the Seller will be responsible for paying all taxes and duties on the goods sold, and GQYSHOP cannot provide legal or tax advice in this regard. As tax laws and regulations may change from time to time, the Seller is advised to seek professional advice if in doubt.

18.10 The Seller acknowledges and agrees that the Seller's violation of any GQYSHOP policy will result in the actions described in Section 7.1.

19. Paid Advertising

19.1 GQYSHOP provides keyword advertising ("Keyword Advertising") and other advertising services on its paid advertising website, including participating in limited-time flash sales ("Flash Sales Advertising") (Keyword Advertising and Flash Sales Advertising are collectively referred to as "Paid Advertising") and other websites on an ongoing basis. Sellers can purchase paid advertising services. GQYSHOP provides paid advertising services in accordance with these Terms of Service and any explanatory materials published on this website, paid advertising website or notified to the Seller in writing (hereinafter referred to as the "Paid Advertising Rules"). Sellers who purchase paid advertising services agree to be bound by the Paid Advertising Rules. If you do not agree to be bound by the Paid Advertising Rules, please do not purchase any Paid Advertising Services.

19.2 In order to purchase Paid Advertising Services, you must be an eligible seller under the Paid Advertising Rules. Your account may not be suspended during the period in which you purchase and pay for Paid Advertising Services.

19.3 You may purchase Paid Advertising Services by purchasing advertising credits ("Advertising Credits") on the Paid Advertising Site or other websites, and the fees payable for Paid Advertising Services will be deducted from GQYSHOP's Advertising Credits. All Advertising Credits are subject to GST and expire six (6) months after purchase or such other time as GQYSHOP may determine. Once you purchase Advertising Credits and complete the payment process, you may not cancel the order and/or request a refund, unless otherwise provided in the applicable Paid Advertising Rules.

19.4 If your Advertising Credit balance is lower than the amount you set ("Minimum Advertising Credit Amount"), you can also choose to automatically recharge your Advertising Credits through your Seller Balance ("Advertising Credit Recharge Function"). When activating the advertising credit recharge function, you can select the minimum advertising credit amount and the recharge amount, and agree to deduct it from your seller balance in accordance with Article 10 of these Terms of Service.

19.5 You can purchase keyword advertising services when listing products for sale or when listing products later. When purchasing keyword advertising, you can set different budgets, keywords, marketing cycles, etc. for each project according to the paid advertising rules. The keyword advertising service for each project will be activated and expire on the corresponding date set by you ("Paid Advertising Period"). If a product is sold or removed from the shelves during the paid advertising period you set for that product, you have no right to transfer the remaining paid advertising period or advertising credit to other products, and the advertising credit will not be refunded.

19.6 You can choose to purchase flash sale advertising services during the time period specified by GQYSHOP. When purchasing flash sale advertising services, you can specify the products to be included in the flash sale, and GQYSHOP may include such products in the flash sale at its sole discretion. Once the advertising credit is used, it cannot be transferred to other products, and the advertising credit is not refundable, regardless of whether the product is sold/unsold or not listed during the flash sale.

19.7 The products you publish on the Website must comply with all relevant laws and regulations, paid advertising rules, these Terms of Service, and the Prohibited and Restricted Products Policy. You understand and agree that GQYSHOP reserves the right to immediately delete any listing that violates the forwarding regulations, and any paid advertising fees you have paid or advertising credits you have used in connection with any listing deleted pursuant to this Section 18.7 will be forfeited and refunded. GQYSHOP is also not responsible for any damages related to the listing deleted pursuant to Section 18.7.

19.8 You understand and agree that GQYSHOP does not guarantee or warrant that your product ratings or sales will increase as a result of paid advertising services.

19.9 It is recommended that you purchase paid advertising services after fully considering your budget and expected advertising goals. Except as otherwise provided in these Terms of Service or Paid Advertising Rules, GQYSHOP does not assume any compensation or liability (including but not limited to actual costs and loss of profits)the results or anticipated results of any paid advertising placed.

19.10 If, regardless of anything in these Terms of Service, a court of competent jurisdiction finds GQYSHOP liable for any paid advertising service (including for gross negligence), then to the maximum extent permitted by applicable law, its liability to you or any third party is limited to the amount you paid for the relevant paid advertising service.

19.11 For sellers located in Singapore, tax invoices for automatically recharged paid advertising are available from Seller Center.

20. Alcohol Transactions

20.1 Subject to the terms and conditions of this Section 19, GQYSHOP allows the purchase and sale of alcoholic products ("Alcohol") on the Website. If you are a buyer of alcoholic products ("Alcohol Buyer"), you will be deemed to have agreed to the terms and conditions of this Section 18 when you purchase alcohol on the Website. Similarly, if you are an approved alcohol seller ("Alcohol Seller"), you will be deemed to have agreed to the terms and conditions in this Section 18 when you sell alcohol on the Website.

20.2 If you are a purchaser of alcohol:

(i) you represent and warrant that you and (where applicable) the person receiving the drink (the “Recipient”) are both 18 years of age or older;

(ii) you shall not request alcohol to be delivered to any public place (as such term is defined in the Control of Liquor (Supply and Consumption) Act 2015, as amended from time to time); and

(iii) if requested by the alcohol seller or GQYSHOP (or its agents), you and/or the Recipient shall provide photographic identification for age verification.

20.3 If you are a seller of alcohol, you represent and warrant that:

(i) you hold all necessary licences and/or permits required to sell alcohol through the Website and shall promptly provide GQYSHOP with copies of such licences and/or permits and supporting documentation upon request for verification; and

(ii) all information and documents provided to GQYSHOP are true and accurate.

20.4 When delivering wine to a wine buyer:

(i) the delivery agent reserves the right to request a valid photo ID to verify age; and

(ii) GQYSHOP (through the delivery agent) reserves the right to refuse to deliver wine if the wine buyer and/or consignee appears intoxicated or is unable to provide a valid photo ID to verify age.

20.5 Each wine buyer and wine seller agrees to indemnify, defend and hold harmless GQYSHOP and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners and employees (collectively, the “Indemnified Parties”) from and against: (a) any inaccuracies or violations of its representations in Section 19.2 and/or Section 19.3 (as the case may be); and (b) its violation of any law or any third-party rights.

21. Transaction Fees

21.1 GQYSHOP charges a fee (“Transaction Fee”) for all transactions successfully completed on the Website. The Transaction Fee is borne by the Seller and is calculated at two percent (2%) of the Purchase Price, rounded to the nearest cent. The Transaction Fee is subject to Goods and Services Tax (“Tax”) and the Seller shall be responsible for payment of such Tax.

21.2 For Sellers located outside of Singapore, GQYSHOP will charge a fee for all successfully completed transactions on the Website (“Cross-border Fee”). The Cross-border Fee is borne by the Seller and is calculated in accordance with the rate notified to such Seller from time to time on the Website.

21.3 If the Buyer selects SPayLater as their payment method, GQYSHOP will charge an additional fee for all successfully completed transactions on the Website (“SPayLater Fee”). The SPayLater Fee is borne by the Seller and is calculated in accordance with the rate notified to such Seller from time to time on the Website. SPayLater Tax.

21.4 For Sellers who sell products on the Platform through the Shopify API, GQYSHOP will charge a fee for all successfully completed transactions on the Website (“Shopify Transaction Fee”). The Shopify Transaction Fee is borne by the Seller and is calculated at one-half percent (1.5%) of the Buyer's purchase price, rounded to the nearest cent. The Shopify Transaction Fee is subject to Goods and Services Tax ("Shopify Tax") and the Seller is responsible for paying such Shopify Tax. For the avoidance of doubt, the Shopify Transaction Fee and Shopify Tax are payable in addition to the Transaction Fee and Tax.

21.5 Upon successful completion of the transaction, GQYSHOP will deduct the Transaction Fee, Tax, Cross-Border Fee, SPayLater Fee, SPayLater Tax, Shopify Transaction Fee and Shopify Tax (if applicable) from the Buyer's purchase and remit the balance to the Seller in accordance with Section 12.2. GQYSHOP shall issue a receipt or tax invoice for the Transaction Fee, Tax, ShopifyTransaction fees and Shopify taxes are payable by sellers upon request. For sellers located in Singapore, these tax invoices are available from Seller Central.

22. Overseas Vendor Registration

22.1 For sellers located outside Singapore who sell digital services that fall within the scope of the Overseas Vendor Registration Regime (“Overseas Digital Services Sellers”), the supply of digital services to buyers (i.e. individuals and non-GST registered businesses) is subject to GST (“OVR”). Registration. From 1 January 2023, the scope of the Overseas Vendor Registration Regime will be expanded to include non-digital services that can be provided and received remotely and low-value goods sold by sellers outside Singapore.

22.2 GQYSHOP shall withhold and promptly remit the appropriate OVR GST amount to the Singapore tax authorities. Overseas Vendors of Digital Services shall ensure that all applicable digital services sales taxes (if any) have been correctly applied. Overseas Digital Services Sellers shall cooperate and use their best endeavours to provide GQYSHOP with all necessary information to comply with applicable tax requirements under the Overseas Vendor Registration Regime. From 1 January 2023, the scope of the Overseas Supplier Registration Registry will be expanded to include non-digital services that can be provided and received remotely and low-value goods sold by sellers outside Singapore.

23. Disputes

23.1 If there is a problem with a transaction, it should be resolved in accordance with GQYSHOP policies.

23.2 Each buyer and seller promises and agrees that they will not sue or otherwise make any claims against GQYSHOP or its affiliates in relation to any transaction, the Website or any dispute related to such transaction (unless GQYSHOP or its affiliates is the seller of the product involved in the claim).

23.3 Users covered by GQYSHOP may send a written request to GQYSHOP to assist them in resolving problems arising from the transaction. GQYSHOP may, at its sole discretion, take all necessary measures to assist users in resolving disputes without incurring any liability to buyers or sellers. 23.4 It should be made clear that the services provided in Article 23 are only available to buyers covered by the GQYSHOP guarantee. Buyers who purchase using other payment methods should contact the seller directly.

24. Feedback

24.1l GQYSHOP welcomes users to provide information and feedback, which will enable GQYSHOP to improve the quality of the services provided. For more information, please refer to the feedback procedures below:

(i) Feedback can be provided by email or in writing using the feedback form on the application.

(ii) Anonymous feedback is not accepted.

(iii) Users affected by feedback should be fully informed of all facts and have the opportunity to state their reasons.

(iv) Ambiguous and defamatory feedback is not accepted.

25. Disclaimer

25.1 The service is provided "as is" and GQYSHOP does not make any express, implied or statutory warranty, claim or representation with respect to the service, including but not limited to quality, performance, non-infringement, merchantability or fitness for a particular purpose, and does not limit any warranty arising from dealing, performance or trade practice. In addition to the foregoing, to the maximum extent permitted by applicable law, GQYSHOP does not warrant that the Services, Websites or the functions contained therein will be available, accessible, uninterrupted, timely, secure, accurate, complete or error-free, that defects (if any) will be corrected, or that the Website and/or the server will produce any other harmful code, instructions, programs or components.

25.2 You acknowledge that, to the maximum extent permitted by applicable law, the entire risk arising from the use or performance of the Website and/or Services rests with you.

25.3 GQYSHOP has no control over, and to the maximum extent permitted by applicable law, does not guarantee or assume any responsibility for: (A) the suitability, existence, quality, safety or legality of the goods provided through the Services; or (B) the ability of the seller to sell the goods or the ability of the buyer to pay for the goods. If a dispute involves one or more users, such users agree to resolve such disputes directly between them and to indemnify GQYSHOP and its affiliates from any and all claims arising from damages and losses related to any such disputes to the maximum extent permitted by applicable law.

26. Exclusion and limitation of liability

26.1 To the maximum extent permitted by applicable law, in any eventGQYSHOP shall not be liable for the following, whether in contract, warranty, tort (including but not limited to negligence (whether active, passive or imputed), product liability, strict liability or otherwise), or for any other cause of action, whether at law, in equity, by regulation or otherwise:

(i) (A) loss of use; (B) loss of profits; (C) loss of revenue; (D) loss of data; (E) loss of goodwill; or (F) failure to achieve expected direct or indirect savings; or

(ii) any indirect, incidental, special or consequential damages arising out of or in connection with the use of or inability to use the Site or Services, including but not limited to any damages resulting therefrom, even if GQYSHOP has been advised of the possibility of such damages.

26.2 You acknowledge and agree that if you have any problems or dissatisfaction with the Services, your only right is to terminate your account and/or stop using any of the Services.

26.3 Notwithstanding the foregoing, if a court of competent jurisdiction finds GQYSHOP liable (including for gross negligence), then to the maximum extent permitted by applicable law, its liability to you or any third party shall be limited to the lesser of: (A) any amounts payable to you under GQYSHOP's guarantee; and (B) SGD100 (one hundred Singapore dollars).

26.4 Nothing in these Terms of Service shall limit or exclude any liability for death or personal injury resulting from GQYSHOP's negligence, fraud or any other liability of GQYSHOP which cannot be lawfully limited and/or excluded.

GQYSHOP provides these links for convenience only, and the inclusion of any link does not in any way imply or express GQYSHOP's association, endorsement or sponsorship of any linked website and/or any of its contents.

27.2 GQYSHOP allows you to share videos from YouTube ("YouTube Content") on the GQYSHOP live streaming feature. By sharing YouTube Content, you hereby agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).

28. Your Contributions to the Service

28.1 By submitting Content for inclusion in the Service, you represent and warrant that you have all necessary rights and/or licenses to grant GQYSHOP the license below. You further acknowledge and agree that you are solely responsible for any Content you post or otherwise make available on or through the Service, including, but not limited to, accuracy, reliability, nature, rights permissions, legal compliance and legal restrictions. You hereby grant GQYSHOP and its successors a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, republish, transmit, modify, adapt, create derivative works from, publicly display and publicly perform such Contributions on, through or in connection with the Services in any media formats and through any media channels, including without limitation for promoting and redistributing portions of the Services (and derivative works thereof) without attribution, and you agree to waive any moral rights in this regard (and any similar rights anywhere in the world). You understand that your Contributions may be transmitted over various networks and altered to conform and adapt to technological requirements.

30. Your Representations and Warranties

You represent and warrant that:

(b) you will use the Services only for lawful purposes and in compliance with these Terms of Service and all applicable laws, rules, guidelines, directives, guidelines, policies and regulations.

31. Fraudulent or Suspicious Activity

We may take various actions to protect GQYSHOP, other buyers or sellers, other third parties, or you from revocations, rejections, payments, claims, fees, fines, penalties, and any other liability. The actions we may take include, but are not limited to, the following:

(a) We may close, suspend or limit your access to your account or the Services, and/or suspend processing of any transactions;

(b) We may suspend your eligibility for GQYSHOP guarantees;

(c) We may hold, use or transfer funds in your account as required by judgments and orders affecting you or your account, including judgments and orders made against GQYSHOP by courts in Singapore or elsewhere;

(d) We may refuse to provide services to you now and in the future;

(e) We may withhold your funds for as long as reasonably necessary to prevent the risk of liability to GQYSHOP or a third party, or if we believe that you may be engaging in potentially fraudulent or suspicious activities and/or transactions.

For the pure form of this section:

A “chargeback” is a request made by a buyer directly to their debit or credit card company or the bank that issued the debit or credit card to cancel a payment.

A “claim” is a dispute about a payment submitted directly to GQYSHOP by a buyer or seller.

"Reversal" means GQYSHOP reverses a payment because (a) the sender's bank has reversed the payment, (b) GQYSHOP sent it to you in error, (c) the sender does not have the authority to send the payment (for example: the sender used a stolen credit card), (d) you received the payment for activity that violated these Terms of Service or any other GQYSHOP policy, or (e) GQYSHOP decides to file a claim against you.

32. Indemnification

You agree to indemnify, defend and hold harmless GQYSHOP, its shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners and employees (collectively, the “Indemnified Parties”) from and against any and all claims, and hold harmless the Indemnified Parties from and against all related liabilities, damages, settlements, fines, penalties, costs and expenses arising out of or related to: (a) any transaction on the Site, or any dispute relating to such transaction (unless GQYSHOP or its affiliates are the seller in the transaction involved in the dispute), (b) GQYSHOP warranties, (c) hosting, operating, managing and/ormanagement of the Service by or on behalf of GQYSHOP, (d) your breach or violation of any provision of these Terms of Service or any policy guidelines or content referenced herein, (e) your use or misuse, (f) your violation of any law or the rights of any third party, or (g) any content uploaded by you.

33. Severability

If any provision of these Terms of Service is held to be unlawful, void, or for any reason unenforceable under the laws of any jurisdiction, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity of any remaining provisions, the validity and enforceability of such provision in that jurisdiction, or the laws of any other jurisdiction regarding the validity and enforceability of any provision.

34. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law rules. To the extent applicable, the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act are expressly disclaimed. Unless otherwise required by applicable law, any dispute, controversy, claim or difference arising out of or in connection with these Terms of Service against GQYSHOP or any party protected by these Terms of Service shall be finally settled by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (the “SIAC Rules”) then in effect, which are deemed to be incorporated herein by reference. The arbitration will have one (1) arbitrator and the language of the arbitration shall be English.

35. General

35.1 GQYSHOP reserves all rights not expressly granted in these Terms of Service.

35.2 GQYSHOP may amend these Terms of Service at any time by posting the amended Terms of Service on this Website. Your continued use of the Website and/or receipt of any Services (including, for the avoidance of doubt, GQYSHOP's continued provision of an Account to you) after such changes have been posted shall constitute your acceptance of such amended Terms of Service.

35.3 You may not assign, sublicense or transfer any of the rights granted to you under this Agreement or subcontract any of your obligations under this Agreement.

35.4 Nothing in these Terms of Service shall constitute a partnership, joint venture or agency relationship between you and GQYSHOP, nor shall it authorize you to incur any expenses or assume any liability on behalf of GQYSHOP.

35.5 GQYSHOP's failure to require performance of any term of this Agreement at any time shall not in any way affect its right to enforce such term in the future unless waived in writing.

35.6 These Terms of Service are for your enjoyment only and not for the enjoyment of any other person or entity, except GQYSHOP's affiliates and subsidiaries (and their respective successors and assigns).

35.7 The terms set forth in these Terms of Service and any agreements and policies contained or referred to in these Terms of Service constitute the entire agreement and understanding between the parties with respect to the Services and the Website, and supersede any prior agreement or understanding between the parties with respect to such subject matter. The parties also hereby exclude all implied terms of fact. In entering into an agreement consisting of these Terms of Service, the parties did not rely on any statement, representation, warranty, understanding, promise, undertaking or assurance of any person, except as expressly provided in these Terms of Service. Each party irrevocably and unconditionally waives all claims, rights and remedies it may have with respect to any of the foregoing, except for these Terms. These Terms of Service shall not contradict, interpret or supplement any prior agreement, any contemporaneous oral agreement or any evidence of consensual additional terms.

35.8 You agree to comply with all applicable laws, rules, regulations and codes relating to anti-bribery and corruption, including but not limited to the UK Bribery Act, the US Foreign Corrupt Practices Act and the Singapore Prevention of Corruption Act, and confirm that you have and shall comply with all required policies and procedures.
